Welcome to the Planner Boss Collective website (the “Site”), operated by Planner Boss Collective (“PBC,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site, including any content, features, applications, resources, and services offered by PBC (collectively, the “Services”).
By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Site or Services.
1. Who We Are
Planner Boss Collective is a promotional and community platform that highlights independent stationery and planner shops through collaborative events (the “PBC Sale” and related promotions). We provide marketing support, visibility, and organization for participating shops. Individual products, orders, and services are generally offered and fulfilled by third-party shops, not directly by PBC.
These Terms apply to:
- Visitors and customers who browse or shop through the Site, and
- Shop owners and other partners who access resources or information made available on the Site.
Internal operational details about how we plan, organize, or administer the PBC Sale are managed by PBC at our sole discretion and may change without notice. Participation in any sale or program may be subject to additional written agreements, policies, or guidelines provided separately by PBC.
2. Eligibility
By using the Site, you represent and warrant that:
- You are at least 18 years old or the age of majority in your jurisdiction, and
- You have the legal capacity to enter into a binding agreement with PBC.
If you use the Site on behalf of a business or organization, you represent that you are authorized to do so and that such entity accepts and agrees to these Terms.
3. Relationship Between PBC, Shops, and Customers
PBC acts primarily as a promotional and coordination platform. We are not the manufacturer, seller, or shipper of most products featured during the PBC Sale or on our Site. Unless explicitly stated otherwise:
- Products are sold and fulfilled by independent third-party shops (“Participating Shops”), not by PBC.
- Prices, discount codes, promotions, and inventory are set and controlled by each Participating Shop.
- Each Participating Shop is solely responsible for order processing, shipping, returns, refunds, quality control, and customer service related to its products.
Any purchase you make from a Participating Shop is a separate transaction between you and that shop. PBC is not a party to those transactions and is not responsible for:
- Order fulfillment, shipping delays, or lost packages,
- Product quality, accuracy of descriptions, or availability,
- Shop policies, including returns, exchanges, or cancellations, or
- Any disputes between you and a Participating Shop.
While we strive to work with professional and reputable shops, PBC does not guarantee the performance or conduct of any Participating Shop. Any concerns about a specific order should be directed to the relevant shop according to its policies.
4. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:
- Use the Site in any way that violates applicable laws or regulations;
- Interfere with or disrupt the operation or security of the Site or Services;
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or systems;
- Use any automated system (including bots, scrapers, or crawlers) to access the Site without our prior written permission;
- Upload, transmit, or otherwise distribute any harmful code, viruses, or malicious software;
- Use the Site to harass, defame, abuse, or harm others.
We may, in our sole discretion, suspend or terminate your access to the Site or Services if we believe you have violated these Terms or engaged in suspicious, fraudulent, or harmful behavior.
5. Accounts, Applications, and Shop Participation
Portions of the Site may allow you to create an account, submit an application, or provide information in order to participate in a PBC Sale or related program.
You agree to:
- Provide accurate, current, and complete information, and
- Promptly update your information if it changes.
Submission of an application or completion of a form does not guarantee acceptance into any sale, program, or promotional opportunity. Selection and participation decisions are made at the sole discretion of PBC, based on factors we determine internally. We are not obligated to disclose the criteria or internal processes used for selection, scheduling, or placement.
If you are accepted into a sale, program, or collaboration, additional terms, contracts, or policies may apply. In the event of a conflict between those specific terms and these Terms, the more specific written agreement will typically govern your participation.
6. Payments and Fees
From time to time, PBC may charge fees for participation in events, access to resources, sponsorships, or other services (for example, shop participation fees, promotional slots, or digital products).
Unless stated otherwise:
- All prices are listed in U.S. dollars.
- Payment is due at the time of purchase or registration.
- Fees are generally non-refundable, except where required by law or explicitly stated in writing.
We reserve the right to correct any errors or inaccuracies in pricing or billing, and to modify or update our fees at any time.
7. Promotions, Discount Codes, and Sale Details
PBC may promote discount codes, sale dates, and special offers provided by Participating Shops. While we make reasonable efforts to present accurate information, all promotions are ultimately controlled by the individual shops.
PBC is not responsible if:
- A code is entered incorrectly or expires,
- A shop changes its discount, minimums, or exclusions,
- Inventory sells out or is otherwise unavailable.
All sale details, including dates, participating shops, and marketing activities, are subject to change or cancellation at any time at PBC’s discretion.
8. Intellectual Property
Unless otherwise indicated, all content on the Site—including text, graphics, logos, images, page layouts, and design elements—is owned by or licensed to PBC and is protected by copyright, trademark, and other intellectual property laws.
You may:
- View and use the Site for your personal, non-commercial use, and
- Share links to public pages of the Site, provided you do not represent or imply that PBC endorses you or your content.
You may not, without our prior written consent:
- Copy, reproduce, distribute, modify, or create derivative works from the Site or its content;
- Use our trademarks, logos, or branding in a way that may cause confusion or suggest sponsorship or endorsement;
- Collect or use any content for commercial purposes outside of what is expressly permitted.
Participating Shops retain ownership of their own names, logos, products, and related intellectual property. Use of such material on the Site or in PBC marketing does not transfer ownership to PBC.
9. User Content
If you submit, post, or share any content on or through the Site (such as comments, testimonials, images, reviews, or messages) (“User Content”), you grant PBC a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute such User Content in connection with the Site, our social media, and our marketing efforts.
You represent and warrant that:
- You own or have the necessary rights to your User Content, and
- Your User Content does not infringe, violate, or misappropriate any third-party rights or applicable laws.
PBC may, but is not required to, monitor, edit, or remove User Content at our discretion.
10. Third-Party Links and Resources
The Site may contain links to third-party websites, shops, or services that are not owned or controlled by PBC. These links are provided for your convenience only.
PBC does not endorse, guarantee, or assume responsibility for:
- The content, policies, or practices of any third-party site or service, or
- Any products, services, or transactions you may enter into with third parties.
You access third-party sites at your own risk and should review their terms and policies before using them.
11. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, PBC does not warrant that:
- The Site or Services will be uninterrupted, timely, secure, or error-free;
- Any information, sale details, discounts, or shop listings will be accurate, complete, or current; or
- Any defects or errors will be corrected.
Participation in the PBC Sale, purchase of products from Participating Shops, and use of any products or services is at your own risk.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PBC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:
- Your USE OF OR INABILITY TO USE THE SITE OR SERVICES;
- ANY TRANSACTIONS OR INTERACTIONS BETWEEN YOU AND A PARTICIPATING SHOP;
- ANY CONTENT OR INFORMATION ON THE SITE; OR
- UNAUTHORIZED ACCESS TO OR USE OF YOUR INFORMATION.
TO THE EXTENT ANY LIABILITY IS FOUND DESPITE THE ABOVE, THE TOTAL LIABILITY OF PBC TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO PBC (IF ANY) IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
13. Indemnification
You agree to defend, indemnify, and hold harmless PBC and its owners, officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
- Your use of the Site or Services;
- Your violation of these Terms;
- Your violation of any third-party right, including any intellectual property or privacy right; or
- Your interactions or transactions with any Participating Shop or third party.
14. Changes to the Site and Terms
We may update, modify, suspend, or discontinue any part of the Site or Services at any time, without prior notice.
We may also revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. The updated Terms will be effective when posted. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms.
15. Governing Law
These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.
16. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
